Terms of use
Short terms for this website, and a summary of the terms every member accepts in the portal.
Draft, pending attorney review. This page is a plain-English summary published for review and is not yet in effect. The binding, versioned text is presented in the member portal and accepted there before an account is used. Last revised 2026-10-10.
Part 1 — This website
tenonloans.com is published by Tenon, LLC (“Tenon”, “we”), a Utah limited liability company. By using it you agree to these terms and to the privacy policy.
Information, not an offer
Business-purpose loans only, to Utah businesses, from members who have completed onboarding. Nothing on this site is an offer to lend or a commitment to fund. The pages here explain how Tenon works, what it costs, and how it decides what to list. They do not describe any particular loan, and they are not legal, tax, accounting or investment advice. Numbers shown as examples are illustrations, not quotes.
Tenon, LLC is not a lender: it is a loan broker and platform that does not make loans, hold funds, or move money. Loans are made by member lenders directly to borrowers.
Interest forms
The forms on this site start a conversation. They are not applications, they create no obligation on either side, and nothing you send through them is a commitment to borrow, to lend, or to list. What we do with the information is in the privacy policy.
Using the site
Do not scrape, copy, or republish the site’s text, graphics, marks or the Tenon Score methodology; do not interfere with it; do not use it for anything unlawful. The site and its content are owned by Tenon or its licensors. Links to other sites are for convenience and are not endorsements.
No warranty; limited liability
The site is provided as is and as available. To the fullest extent the law allows, Tenon disclaims all warranties about it and is not liable for indirect, incidental, consequential, special or punitive damages, or lost profits, arising from your use of it.
Law and venue
These website terms are governed by the laws of the State of Utah. Any dispute about this website will be brought in the state courts located in Utah County, Utah or the United States District Court for the District of Utah.
Part 2 — The Platform Terms, summarized
The member portal at https://app.tenonloans.com is governed by the Platform Terms of Use, shown in full at https://app.tenonloans.com/terms and accepted by checkbox when an account is created and again whenever a material change is made. This summary is for orientation; the versioned text controls.
Who may use the platform
Businesses seeking commercial financing, and approved members who may make commercial loans to them. It is not for consumers and may not be used to seek or make credit for personal, family or household purposes. You must be 18 or older and able to bind the business you act for. Creating an account does not open the deal room; that requires approval under the lender agreement.
What Tenon is — and is not
Tenon is a platform. It profiles and scores applicant businesses, runs a closed deal room, prepares transaction documents from templates, generates payment schedules, reconciles payments from read-only bank data the parties authorize, and sends statements and reminders. Tenon is not a lender: every loan is made directly by one or more approved members to a borrower under documents they sign with each other, and Tenon is not a party to any loan. Tenon is not a bank, trust company, money transmitter, payment processor, broker-dealer or funding portal. It does not give legal, tax, accounting or investment advice; a Tenon Score, memo, tier or badge is information, not a recommendation. Tenon does not guarantee anything about any borrower, lender or loan — not creditworthiness, repayment, collateral value, lien position, or the accuracy of what a participant supplies.
Tenon never holds your money
Tenon does not receive, hold, pool or transmit loan proceeds or loan payments, and there is no escrow. Lenders fund borrowers directly. Borrowers repay lenders directly. The only money Tenon receives is its own fees, invoiced separately. A reminder on the platform to pay someone is a reminder of your own obligation under your own loan documents.
Accounts, accuracy and acceptable use
Keep your information accurate and current; Tenon may verify it. One account per person or entity; you are responsible for what is done under your credentials. You will not supply false or misleading information, use the platform for consumer credit, use deal-room information for anything other than evaluating the specific loan it concerns, contact a borrower or lender you learned of through the platform except as the agreements allow, scrape or reverse-engineer the platform, or describe it or any loan to others as an offering of securities, a fund, or similar.
Confidentiality of the deal room
Everything in the deal room is confidential: borrower identities, financials, scores, memos, guarantor information, loan terms, and other members’ identities and commitments. Use it only to evaluate and make the specific loan it concerns; share it only with your own advisors who need it and are bound to keep it confidential. The usual carve-outs apply (already public, already known, received from a third party free of any duty, independently developed), with no residuals exception. The duty lasts three years after your last access, and for trade secrets as long as they remain trade secrets. Nothing limits anyone’s right to report possible violations of law to a government agency.
Fees
Tenon’s fees are stated in the borrower and lender agreements, and summarized on the pricing page. There is no fee to create an account.
Electronic records and signatures
You consent to receive notices, disclosures, agreements and statements electronically and to sign electronically; an electronic signature is as binding as ink under Utah and federal law. You may request a paper copy at no charge or withdraw consent by writing to us, though withdrawing may end your ability to use the platform.
Disclaimers, liability and indemnity
The platform and all information on it are provided as is. Tenon does not warrant that any listing will fund, that any loan will be repaid, that any collateral will have value, or that any score, memo or tier is correct. Neither side is liable to the other for indirect or consequential damages or lost profits. Tenon’s total liability is capped at the fees you paid Tenon in the twelve months before the event, with carve-outs for indemnity, breach of confidentiality, and gross negligence or willful misconduct. You indemnify Tenon against third-party claims arising from your breach, your false information, or your violation of law.
Changes, suspension and termination
Material changes to the terms require re-acceptance before further use; declining ends access but does not affect loan documents already signed. You may close your account on 30 days’ notice. Tenon may end access on 30 days’ notice for convenience, on 15 days’ notice to cure a breach, or immediately for fraud, a sanctions match, a security threat or a legal requirement. Signed loan documents continue under their own terms regardless.
Law, venue and disputes
Utah law governs. Disputes go first to direct negotiation, then to mediation in Utah County, Utah, with the mediator’s fee shared equally, then to the state courts located in Utah County, Utah or the United States District Court for the District of Utah, which have exclusive jurisdiction. Either side may bring a small-claims action or seek a court order to protect confidential information or intellectual property at any time. Each party bears its own attorneys’ fees.
